Air Ambulance - Monthly Package

General Terms and Conditions

These General Terms and Conditions form an integral part of the Air Ambulance Services Agreement between AL-Sharqiya Aviation SAOC (“ASA”) and the Customer.

1. DEFINITIONS
• Services: The Services to be provided by ASA as described in the Agreement.
• Agreement: Refers to the Air Ambulance Service Agreement including any amendments, schedules, and this Annexure.

2. CONFIDENTIALITY
The Parties agree to keep confidential the terms of this Agreement unless required by law or legal authority.

3. REPRESENTATIONS AND WARRANTIES
Each Party confirms it has the legal right to enter this Agreement and comply with all applicable laws.

4. INDEMNIFICATION
The Customer agrees to indemnify ASA from any claims arising out of misconduct or breach of the Agreement.

5. FORCE MAJEURE
Neither party is liable for delays caused by events beyond their control.

6. INTELLECTUAL PROPERTY
ASA retains all intellectual property rights. This Agreement grants no license or ownership to the Customer.

7. MISCELLANEOUS
This Agreement does not create a partnership. Liability is limited to the advance payment. Amendments must be in writing. Invalid clauses do not affect the rest of the Agreement. Notices must be written and delivered formally.
